You may remember that I have reported several times on the PAD — Personal Annunciation Device. Following is a lecture given by its inventor that you can see and hear online.

Abstract:
The Personal Annunciation Device (PAD) is a new technology developed by the Y-12 National Security Complex in Oak Ridge TN. Originally conceived to extend the range of personal radiation detection instruments under extreme radiological incident conditions; the PAD has been recognized by R&D Magazine as one of the top 100 significant innovations of 2007. Dr. Peter Angelo, inventor and principle investigator describes the unique engineering challenges associated with developing and demonstrating the technology at a Department of Energy production facility. The PAD was the first demonstration of radio frequency identification (RFID), wireless and radiation detection technologies integrated into an industrial hazard alerting system. The use for PAD is not limited to radiation hazard events, as the means to incorporate personal accounting can be beneficial for any general emergency.

A patent is pending on the "PAD" and the folks at the Y-12 National Security Complex are looking for a partner to move the proof of principle to a more wide-based market. Since this is a pager-type device we are wondering if any of the readers of this newsletter might be interested. There were some who expressed a strong interest two or three years ago, so if anyone is still interested now, please let me know.

Some readers were not able to get the newsletter on Wednesday of last week. There was a problem when the ISP replaced server hardware and then put an older version of the web site on line. I all should be OK now. Please let me know if you experience any problems.

Harris Corporation to Acquire Tyco Electronics Wireless Systems, Creating a Leading Provider of Wireless Communication Networks in Land Mobile Radio Systems Market

Acquisition Boosts Harris Entry into Growing Market

MELBOURNE, Fla. and LOWELL, Mass., April 16 /PRNewswire-FirstCall/ — Harris Corporation (NYSE: HRS), an international communications and information technology company, has signed a definitive agreement to acquire the Tyco Electronics Wireless Systems business (formerly known as M/A-COM), an established provider of mission-critical wireless communications systems for law enforcement, fire and rescue, and public service organizations.

Tyco Electronics Wireless Systems, a business segment of Tyco Electronics Ltd. (NYSE: TEL; BSX: TEL), was formed in 1999 and grew through the acquisition of ComNet Ericsson in 2001 to create Tyco Electronics Wireless Systems ("Wireless Systems"). Wireless Systems will be combined with the Harris RF Communications business segment, creating a dynamic new organization that will provide end-to-end wireless network solutions to the growing $9 billion global land mobile radio systems market.

"The combination of RF Communications and Wireless Systems creates a powerful supplier in the global land mobile radio systems market," said Howard L. Lance, chairman, president and CEO of Harris. "With an 80-year heritage in providing communications for the public safety market, Wireless Systems has established a large installed customer base, extensive domain knowledge, and well-developed sales channels, which serve the federal, state, and local public safety markets. Wireless Systems provides complete end-to-end infrastructure solutions, including IP-based voice and data networks, which support multiple platforms and provide interoperability among disparate systems. Harris RF Communications offers industry-leading radio technology, including the latest in software-defined multiband radios for interoperability and upgradeability, high-level encryption capable of supporting top secret communications, and digital waveform technology. In addition, Harris brings to the new partnership access to well-established business channels for the Department of Defense, U.S. federal agencies, and international customers."

Under the definitive agreement, Harris will purchase the Wireless Systems assets of Tyco Electronics for $675 million in cash, subject to post-closing adjustments. The goodwill arising on completion of the acquisition will be an allowable tax expense with an estimated net present value of $60 million, resulting in an effective purchase price of $615 million. The transaction excludes the State of New York wireless network contract awarded to Wireless Systems in December 2004. Wireless Systems' revenue for the fiscal year ending September 26, 2008, was $463 million, and earnings before interest, taxes, depreciation and amortization (EBITDA) was $86 million. The acquisition is expected to be slightly accretive to Harris earnings in fiscal 2010, excluding acquisition-related charges, and a significant contributor to earnings in fiscal 2011 and fiscal 2012. Morgan Stanley acted as the financial advisor to Harris, while Jones Day provided legal advice.

Wireless Systems is headquartered in Lowell, Massachusetts, with product development and manufacturing facilities in Lynchburg, Virginia, and has approximately 1,150 employees, including 500 engineers and scientists. Principal end-markets for the business include public safety and public service, federal government, transit and transportation, and utilities. End-to-end solutions include network systems and software solutions; mobile and portable radio equipment; broadband WiMAX products for high speed-data applications; and operations, service and maintenance. The business is a key player in the wireless communications standards process, successfully driving its products to open standards in both U.S. and international markets, including the next-generation digital APCO P25 standard.

Wireless Systems will operate as a business unit under the Harris RF Communications segment, headquartered in Rochester, New York. Chuck Dougherty will continue to serve as president of Wireless Systems and will report to Dana Mehnert, president of RF Communications.

"This acquisition greatly accelerates our entry into the land mobile radio systems market and creates a significant opportunity for growth in both North American and international markets," said Mehnert. "Complementary distribution channels will provide Harris with immediate access to state and local government markets for our new Unity(TM) family of multiband radios and will expand the reach for Wireless Systems infrastructure and single-band radios to the Department of Defense, U.S. federal agencies, and international customers. We look forward to delivering a new level of capability and value and bringing industry-leading customer service and support to this market by leveraging the nationwide Harris IT Services workforce."

Integrating our products, systems, technologies and market channels with Harris will allow our combined businesses to bridge the interoperability gap and unite public safety responders at all levels of state, local and federal government."

Harris will finance the acquisition with a combination of existing cash balances, borrowings available under its $750 million revolving credit facility, and long-term debt. The acquisition, which is subject to customary regulatory reviews and closing conditions, is expected to close prior to the Harris fiscal 2009 year end on July 3, 2009.

Monterey restaurant pager caper resolved; rival owner admits guilt, apologizes

MONTEREY — Peace has returned to Fisherman's Wharf.

The civil and criminal war between competing wharf restaurateurs Sam Mercurio and Chris Shake ended Thursday with Mercurio publicly apologizing for tossing 12 of Shake's seating pagers into Monterey Bay.

As part of the settlement negotiated by retired Judge Harkjoon Paik, Mercurio agreed to pay Shake $6,870.

The agreement ends both civil and criminal actions against Mercurio, owner of Domenico's on the Wharf. He was charged with petty theft for stealing the pagers, which were used to summon patrons of Shake's Old Fisherman's Grotto when their tables were ready.

According to testimony in the case, luring strolling diners from the Grotto was like shooting fish in a barrel for Mercurio, who offered to seat them immediately and relieve them of the pagers, which he then dropped in the drink.

Shake unraveled the mystery of his missing pagers when he witnessed Mercurio's actions one night. He hired a diver to search the sandy harbor bottom beneath Domenico's, where the diver discovered 10 of the instruments.

Mercurio and his attorney, Richard Rosen, tried unsuccessfully to suppress the pagers as evidence, arguing the dives amounted to illegal searches. When Judge Tom Wills denied the motion and allowed the case to go forward, Shake said, Mercurio asked him to sit down at the table.

Rosen and Shake's attorney, Bill Daniels, sought the services of Paik, who they described in the settlement as a "distinguished mediator."

In court Thursday, Mercurio, his voice cracking, read a prepared apology admitting his acts.

"I admit that after May 1, 2008, I took 12 pagers belonging to Old Fisherman's Grotto on Old Fisherman's Wharf and Chris Shake and permanently disabled them," he said. "For this conduct, I apologize to Chris Shake, his family and to the community of Monterey, California. I ask their forgiveness.

"In making this admission, I hope to end a period of tensions with the Shake family on the wharf and to begin a new cooperative relationship."

With brothers Tene, Nick and Sabu Shake Jr. looking on, Chris Shake accepted the apology as set out in the agreement.

"On behalf of my family, I accept the apology and hope this is the beginning of a new constructive relationship," he said.

"So do I," Mercurio said. "I'm sorry."

There was applause and the two men shook hands. Wills congratulated them for finding a "very, very reasonable way" to settle their differences. Everyone left the courtroom in smiles.

The Shake brothers, who own several restaurants and tour-boat businesses, said their family has experienced professional jealousy on the wharf dating back to the years when their father, Sabu Shake, was alive.

Outside court, Mercurio said it was just friendly competition that got out of hand. Now, it's back to business, only "we'll do it in a more friendly manner," he said.

Shake commended the Monterey Police Department, Paik and prosecutor Mary Tatum, who remained neutral on the deal.

"It was in the best interest to do a civil (settlement) in lieu of a trial that would have ended in a certain conviction," he said.

Motorola rises 10 percent on mobile spin-off talk

NEW YORK (Reuters) - Shares in Motorola Inc (MOT.N) rose as much as 10 percent on Friday after an analyst said it could soon revisit its postponed plans for a spin off of its loss-making mobile phones division.

Its shares closed up 46 cents to $5.56 after Oppenheimer's Ittai Kidron raised his price target on the stock to $7 from $5 in a note that speculated on the spin-off.

"We also believe management could revisit the planning process for the mobile device spin-off in the near future, which would signal growing confidence in the upcoming portfolio and raise the likelihood of unlocking the unit's value," Kidron said in a research note.

Motorola spokesman Rusty Brashear noted that the company had never given up on the idea of an eventual spin-off, but he declined to speculate on any decisions about timing for a transaction, expected to be put on hold at least for 2009.

"I can understand why people speculate on that because it's still our strategic intent to do that. Even though we greatly slowed the process we never stopped it," he said.

Motorola, which has lost ground to rivals in the cell phone market for about 2 years, said in October that it would delay its spin-off plan, originally slated for the third quarter of this year.

Executives had cited the economy and their efforts to revamp the unit so that it is performing better before becoming a separate entity.

Kidron also cited a "small chance" its phone selling prices for the first quarter would be better than expected. Motorola has canceled launching many cell phones this year with a view to focusing its business on developing advanced phones based on the Android operating system from Google Inc (GOOG.O).

Kidron said he expects the company to come out with as many as 10 advanced phones in the second half of the year.

"Although its still early, we believe two large carriers have endorsed MOT's new portfolio," he said.

The comments follow indications from cell phone leader Nokia (NOK1V.HE) that cell phone sales were stabilizing during its quarterly earnings report.

"A stabilizing macro environment helps everybody," said Avian Securities analyst Matthew Thornton.

But Thornton said, "Motorola has company specific issues ... we probably won't see any light at the end of that tunnel at least until the end of this year."

The company's options were also trading at roughly double their typical volume on Friday.

"Motorola is moving up after Nokia earlier this week was positive in their comments and kept its outlook intact. This bodes well for the industry. Investors have obviously isolated Motorola as they expect some positive news," said William Lefkowitz, options strategist at brokerage firm vFinance Investments.

Motorola shares, which have fallen from $19.30 in October last year rose as high as $5.64 on Friday.
